Role Overview:

We are seeking an experienced Legal Advisor to support our IT/HRTech SaaS business across corporate, commercial, employment, and compliance matters. The role will involve handling B2B SaaS contracts, labor and employment laws, corporate compliance, arbitration, and M&A transactions, while partnering closely with HR, business, and leadership teams.

Key Responsibilities

Corporate & Commercial Legal Advisory

  • Provide legal advice on corporate, commercial, and company law matters

  • Support business teams on B2B SaaS contracts, partnerships, and strategic initiatives

  • Identify and mitigate legal risks across business operations

Contracts & Legal Drafting

  • Draft, review, negotiate, and manage B2B SaaS and IT contracts, including:

    • Master Service Agreements (MSAs)

    • SaaS Subscription and Software License Agreements

    • Service Level Agreements (SLAs) and Statements of Work (SOWs)

    • Data Processing Agreements (DPAs)

    • NDAs, vendor, and commercial agreements

  • Ensure alignment with data protection, IP, and commercial requirements

Labor & Employment Laws (HRTech Focus)

  • Advise HR and management on labor and employment law matters

  • Draft, review, and update employment contracts, HR policies, handbooks, and codes of conduct

  • Ensure compliance with applicable labor laws, employment regulations, and workplace policies

  • Support handling of employee grievances, disciplinary actions, and internal investigations

  • Advise on employment aspects of workforce restructuring, terminations, and exits

Compliance & Regulatory

  • Handle corporate and statutory compliances under applicable laws

  • Support internal audits, regulatory filings, and compliance reporting

  • Monitor regulatory changes impacting IT, HRTech, and employment-related platforms

Arbitration & Dispute Resolution

  • Assist in arbitration, litigation, and employment-related disputes

  • Draft legal notices, replies, and settlement documentation

  • Coordinate with external counsels and manage dispute records

Mergers, Acquisitions & Strategic Transactions

  • Support M&A, investments, and strategic transactions, including:

    • Legal due diligence (corporate, contracts, and employment)

    • Drafting and reviewing transaction documents

    • Post-transaction integration support

Legal Operations & Process Management

  • Maintain legal documentation, contract repositories, and compliance trackers

  • Develop standard templates, HR/legal playbooks, and internal processes

  • Work closely with HR, Product, Sales, Finance, and Leadership teams

Required Qualifications & Skills

  • Bachelor’s degree in Law (LLB); LLM preferred

  • 3-5 years of experience in corporate, commercial, and employment law

  • Strong experience with:

    • B2B SaaS and IT contracts

    • Labor and employment laws

    • Corporate and statutory compliance

    • Arbitration and dispute handling

    • M&A and strategic transactions

  • Excellent drafting, negotiation, and stakeholder management skills

Nice to Have

  • Exposure to SOC 2 (Type I / Type II) compliance frameworks

  • Working knowledge of GDPR and data privacy regulations

  • Experience in IT, SaaS, or HRTech environments
